Terms and Conditions

Parties

(1) Adamic Systems Pte. Ltd., a company incorporated under the laws of Singapore (the "Company", "we", "us", or "our"); and

(2) Users, being any individual who accesses, browses, or uses the Company's marketing website or application (collectively, the "User", "you", or "your").

Background

The Company operates a marketing website and provides application services under the brand name "Adamic" for users seeking media intelligence solutions, including search, curation, and generative AI capabilities designed for investment, communication, and strategy professionals.

The Company's marketing website serves to provide information about the Company's services, products, and business operations to prospective and existing users.

The Company has developed and operates an application that provides media intelligence services, including search functionality, content curation tools, and generative AI-powered features to registered users.

These terms and conditions govern the use of both the Company's marketing website and application, establishing the rights, obligations, and responsibilities of all parties.

Definitions

• "Account" means a user account created by a User to access and use the App Services, including all associated login credentials, profile information, and user data.
• "App" means the Adamic application software, including all updates, modifications, and new versions thereof, made available by the Company.
• "App Services" means all services, features, and functionalities provided through the App by the Company to Users.
• "Company" means Adamic Systems Pte. Ltd., a company incorporated under the laws of Singapore.
• "Content" means all text, graphics, images, audio, video, data, software, and other materials available through or in connection with the Services, including both Company Content and User Content.
• "Intellectual Property Rights" means all intellectual property rights worldwide, including but not limited to copyrights, trademarks, service marks, trade names, patents, trade secrets, and any applications for registration of such rights.
• "Services" means collectively the Website and App Services provided by the Company under this Agreement.
• "User" means any individual who accesses, browses, or uses the Website or App, whether as a registered account holder or as a visitor.
• "Website" means the Company's marketing website accessible at adamic.io and any related subdomains, pages, or associated web properties operated by the Company.

Acceptance and Modification of Terms

By accessing or using the Website or App, creating an Account, or clicking "I agree" or similar acceptance mechanisms, the User agrees to be bound by these terms and conditions and any additional terms that may apply to specific Services.

If the User does not agree to these terms and conditions, the User must not access or use the Website, App, or any Services provided by the Company.

The Company reserves the right to modify, update, or change these terms and conditions at any time in its sole discretion. Changes will become effective no less than seven (7) days after posting, except for changes required by law or to address security vulnerabilities which may take effect immediately.

The User's continued use of the Website, App, or Services after the effective date of any changes constitutes acceptance of the modified terms and conditions.

Description of Services

Website Services: The Company provides a marketing website that offers information about the Company's products, services, business operations, and other related content to visitors and prospective users.

App Services: The Company provides an application that delivers media intelligence services, including search capabilities, content curation, and generative AI-powered analysis and content generation tools to registered Users.

Service Availability: The Services are provided subject to the Company's technical capabilities, system maintenance requirements, and applicable laws and regulations.

Geographic Availability: The Services are intended for use globally; however, availability of certain features may vary by jurisdiction.

User Accounts and Registration

Eligibility: Users must be at least 18 years of age or the age of majority in their jurisdiction to create an Account.

Account Security: Users must choose a secure password and are solely responsible for maintaining the confidentiality of their login credentials. Users must immediately notify the Company of any unauthorized use of their Account or any other breach of security.

One Account Per User: Each User may maintain only one Account. Creating multiple Accounts is prohibited and may result in termination of all associated Accounts.

User Conduct and Prohibited Activities

Users must comply with all applicable laws, regulations, and these Terms when using the Services. The following activities are strictly prohibited:

• Violating any applicable local, state, national, or international law or regulation
• Transmitting content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
• Impersonating any person or entity or misrepresenting affiliation
• Attempting to gain unauthorized access to the Services or other user accounts
• Transmitting viruses, malware, or any other malicious code
• Engaging in spam, unsolicited advertising, or commercial solicitation
• Using automated systems, bots, or scripts without authorization
• Reverse engineering, decompiling, or attempting to extract source code
• Interfering with or disrupting the Services or connected networks

Intellectual Property Rights

All Intellectual Property Rights in and to the Website, App, Services, and Company Content are and shall remain the exclusive property of the Company or its licensors.

Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and App solely for their intended purpose in accordance with these terms.

Users retain ownership of any Intellectual Property Rights in User Content they submit to the Services. By submitting User Content, Users grant the Company a worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, modify, distribute, and display such User Content in connection with providing the Services.

Privacy Policy

The Company's collection, use, storage, and disclosure of personal data and information provided by Users is governed by the Company's Privacy Policy, which forms an integral part of these Terms and Conditions.

By accepting these Terms and Conditions, the User acknowledges that they have read, understood, and agreed to the Privacy Policy as it may be updated from time to time.

Payment Terms and Billing

Certain Services may require payment of fees as specified on the Website or App at the time of purchase or subscription. The Company may offer certain Services free of charge and others subject to payment.

For subscription-based Services, Users will be charged on a recurring basis according to the selected billing cycle. Subscription Services will automatically renew unless cancelled.

All fees are exclusive of applicable taxes, duties, and other governmental charges. Except as required by applicable law, all fees paid are non-refundable.

Disclaimers of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

The Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Services will be uninterrupted, error-free, or completely secure; and warranties regarding the accuracy or completeness of any Content.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to any User for all claims arising out of or relating to these Terms or the use of the Services shall not exceed the total amount paid by the User to the Company in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Indemnification

The User agrees to defend, indemnify and hold harmless the Company, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses arising from the User's use of the Services, violation of these terms, violation of any third party right, or violation of any applicable law.

Termination

Termination by User: The User may terminate this Agreement and close their Account at any time by following the account closure procedures available through the App or by contacting the Company directly.

Termination by Company: The Company may terminate this Agreement and suspend or terminate the User's Account immediately and without prior notice if the User breaches any provision of this Agreement, engages in prohibited activities, or provides false information.

Effect of Termination: Upon termination, the User's right to access and use the Services will cease immediately, and the Company may delete the User's Account and all associated User Content.

Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Singapore.

Jurisdiction: The courts of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

Mandatory Mediation: Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute through good faith mediation conducted by a qualified mediator in Singapore within sixty (60) days.

Limitation Period: Any claim or dispute arising under this Agreement must be commenced within one (1) year after the cause of action accrues.

General Provisions

Entire Agreement: These terms and conditions, together with any privacy policy referenced herein, constitute the entire agreement between the parties relating to the subject matter hereof.

Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

Assignment: The Company may assign or transfer its rights and obligations under this Agreement to any third party without the User's consent. The User may not assign or transfer any rights without the Company's prior written consent.

Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or government regulations.

Electronic Communications: The User consents to receive communications from the Company electronically. All electronic communications shall satisfy any legal requirement that such communications be in writing.
